By purchasing, accessing, or using any Company products or services, including but not limited to the The Posing Playbook course, The Visibility Lab membership, digital downloads, workshops, and photography sessions (collectively, the “Services”), you (“Client,” “you,” “your”) agree to these Terms & Conditions (“Terms”). If you do not agree, do not purchase or use the Services.

1) Eligibility & Accounts

You must be 18+ and legally able to contract. You are responsible for all information provided and for keeping your login credentials confidential. Access may be suspended or terminated for violation of these Terms.

2) Purchases, Pricing & Payment Plans

All prices are shown in USD and are due at checkout unless an installment plan is offered.

If you select a payment plan, you authorize recurring charges to your payment method until the balance is paid in full. Failure to complete installments does not cancel your obligation.

We may use third-party processors (e.g., Stripe/PayPal). You authorize us to share transaction information as needed to process payments and handle disputes.

3) Subscriptions (The Visibility Lab)

Billing: Membership is billed at the monthly or annual rate you selected at checkout. Your rate is locked for that subscription term.

Renewals: Subscriptions auto-renew until canceled and cancellations can be done in writing via email or through your account portal.

Cancellation: You may cancel future renewals anytime by emailing baileybatishevphoto@gmail.com at least 3 business days before your next billing date. Cancellations take effect at the end of the current paid term. No partial refunds for unused time.

Access: Access continues while payments are current. We may pause or terminate access for late/failed payments.

4) Refunds, Returns & Guarantees

All sales are final. Due to the digital/instant-access nature of our Services (including courses, memberships, downloads, coaching, and live/virtual events), no refunds, returns, or transfers are offered for any reason, including non-use.

No results or income guarantees. Your outcomes depend on your effort, skills, market, and other factors outside our control.

5) Chargebacks & Billing Disputes

You agree to first email baileybatishevphoto@gmail.com
to attempt in good faith to resolve any billing issues. If you file a chargeback or dispute:

We may immediately suspend access to all Services.

If the chargeback/dispute is not resolved in our favor, you agree to reimburse: (a) the disputed amount; (b) a $250 administrative fee per transaction; (c) any processor/bank fees; and (d) our reasonable collection costs, including attorney’s fees and costs, to recover amounts owed.

You authorize us and our processor to provide documentation (IP logs, access records, downloads, communications) to your bank to evidence your purchase and usage.

6) Intellectual Property & License

All course materials, videos, PDFs, templates, downloads, names, brands, and content are owned by the Company or licensed to us and protected by IP laws. We grant you a personal, limited, non-transferable, non-exclusive license for your own business use. No sharing, reselling, recording, publishing, or distributing materials to third parties. You may not represent our content or methods as your own.

7) Conduct & Community Standards

We maintain women-led, consent-first, body-neutral, faith-friendly spaces. Harassment, discrimination, or spam will result in removal without refund. You agree not to upload content that infringes the rights of others or violates applicable laws.

8) Access; Maintenance; Modifications

We aim for continuous access but do not guarantee uptime. We may modify, update, or discontinue features or content at any time to improve quality or comply with law. Updates are included for active, eligible customers.

9) Disclaimers (No Professional Advice)

Our Services provide education and general information only. We do not provide legal, medical, mental health, financial, or tax advice. You are solely responsible for how you use the information and for complying with all applicable laws and platform rules.

10) Limitation of Liability

To the fullest extent permitted by law:

We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, revenue, data, or goodwill; business interruption; or replacement services.

Our aggregate liability for any claim arising from the Services is limited to the amount you paid us for the specific Service.

11) Indemnification

You agree to indemnify, defend, and hold harmless the Company and our owners, employees, contractors, and agents from and against any claims, losses, liabilities, damages, fees, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your breach of these Terms; (c) your violation of laws or third-party rights.

12) Governing Law; Venue

These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Washington State for any permitted action not subject to arbitration (if arbitration is omitted).

Arbitration & Class Action Waiver: Any dispute arising out of these Terms shall be resolved by binding arbitration before a single arbitrator under JAMS Rules in Washington State. No class actions. Each party bears its own fees; the arbitrator may award prevailing-party attorneys’ fees where permitted by law.

13) Non-Disparagement

You agree not to publish false statements about the Services. This does not restrict honest reviews/opinions or lawful reporting, but we may enforce against demonstrably false, defamatory, or malicious claims.

14) Promotions; Bonuses

Any promotional bonuses, coupons, or limited-time offers are subject to change and may be withdrawn at any time. Founders bonuses are available only during the stated window.

15) E-Signature & Records

By clicking “I agree,” checking a box, or completing a purchase, you electronically sign and accept these Terms. We may keep electronic records sufficient to prove consent, access, and delivery.

16) Changes to Terms

We may update these Terms at any time. Material changes will be posted with a new “Last Updated” date. Continued use after changes constitutes acceptance.
